| Holcim Ltd is a holding company operating under Swiss law, and is organized by geographical regions. Its management structure as at April 1, 2008 is shown below.

Board of Directors
The Board of Directors consists of 12 members, all but one of whom are independent, and all directors are shareholders of the company.

Audit Committee
The Audit Committee decides on the external auditors’ audit concept and mandate, and assists and advises the Board of Directors in conducting its supervisory duties.

|
|
Governance, Nomination & Compensation Committee
The Governance, Nomination & Compensation Committee supports the Board of Directors by supervising succession planning within senior management and the Board by closely monitoring financial compensation.

|
Management
The Group’s management and structure of line responsibility is organized by geographical regions. Senior management is supported by efficient corporate staff units and management systems.

|
Internal Audit
Internal Audit is an independent body that reports directly to the Chairman and submits regular reports to the Audit Committee. In addition to conducting financial audits, Internal Audit monitors internal management and control systems, and compliance with external and internal guidelines.
